Middlesex Water Company (the “Company”) was unable to file its Annual Report on Form 10-K for the fiscal year ended December 31, 2023 (the “Form 10-K”) prior to 5:30 PM, Eastern Time, on February 29, 2024, without unreasonable effort and expense because it experienced unexpected delays and needed additional time to assemble the Form 10-K and its exhibits for filing. 

 

The Company filed its Form 10-K on February 29, 2024 after 5:30 PM, Eastern Time, and, accordingly, the Form 10-K received a filing date of March 1, 2024. As a result, the Company is filing this Notification of Late Filing on Form 12b-25.

The Form 10-K includes the Company’s results of operations for the fiscal year ended December 31, 2023 and describes the changes in such results from the prior fiscal year. The Company does not anticipate any significant changes from its prior filings with the Securities and Exchange Commission in its results of operations for any completed period.
